The Japanese version of these Terms shall be the authoritative text. In the event of any discrepancy between the Japanese version and this translated version, the Japanese version shall prevail.
These Terms of Service (hereinafter referred to as “these Terms”) set forth the conditions governing the use of the tour booking website (hereinafter referred to as “the Website”) operated by GuideMe Japan Inc. (hereinafter referred to as “the Company”). By using the Website, users shall be deemed to have agreed to these Terms.
Article 1 (Scope of Application)
- These Terms shall apply to all relationships between the Company and users relating to the use of the Website.
- By using the Website, users shall be deemed to have agreed to all provisions of these Terms.
- Any individual notices, guidelines, or other rules (hereinafter referred to as “Individual Provisions”) posted by the Company on the Website shall constitute a part of these Terms. In the event of any inconsistency between these Terms and any Individual Provisions, the Individual Provisions shall prevail.
Article 2 (Definitions)
The terms used in these Terms shall have the meanings set forth in each of the following items.
- “The Company” refers to GuideMe Japan Inc. (GuideMe Japan株式会社).
- “The Website” refers to the tour booking website operated by the Company (https://tours.guidemejapan.com/).
- “Users” refers to all individuals and legal entities who access or use the Website.
- “The Services” refers to tours, experience programs, and other services provided by the Company through the Website.
- “Booking” refers to the process whereby a user applies for the use of the Services and the Company accepts such application.
- “Booking system” refers to the external booking system designated by the Company for the purpose of accepting bookings and processing payments for the Services.
Article 3 (Conditions of Use)
- Users shall provide accurate information at their own responsibility when using the Website.
- Users shall prepare and maintain at their own expense and responsibility all communication devices, software, communication lines, and other equipment necessary for using the Website.
- Minors must obtain the consent of their legal guardian before using the Website.
- The handling of personal information provided by users to the Company shall be governed by the Company’s Privacy Policy.
- The Company may collect cookies and access logs for the purpose of understanding and improving the usage of the Website. Please refer to the Privacy Policy for details.
Article 4 (Booking and Purchase of Services)
- Bookings for the Services shall be made through the booking system designated by the Company.
- When making a booking, users shall also agree to the terms of service and other conditions of the booking system.
- A booking shall be confirmed at the time payment is completed through the booking system.
- Changes to booking details shall be made through the booking system. The availability and conditions of changes shall be subject to these Terms and the Individual Provisions.
- Users shall provide accurate participant information (including name, contact details, number of participants, etc.) at the time of booking. If false information is provided, the booking may be cancelled.
Article 5 (Fees and Payment)
- The fees for the Services shall be as displayed on the respective tour pages of the Website.
- Payment shall be made by credit card (via the booking system).
- Payment shall be processed immediately.
- No additional fees shall be charged.
- The fees include only the items specified on the respective tour pages. Where additional costs such as transportation, meals, admission fees, or other expenses are required, such costs shall be stated on the respective pages.
Article 6 (Cancellation and Refunds)
- Cancellations and refunds for bookings shall be subject to the return and cancellation policy set forth on the “Notation Based on Specified Commercial Transaction Act” page of the Website.
- Cancellation procedures shall be carried out through the booking system.
- Where a refund is applicable, the refund shall be processed to the original payment method in accordance with the procedures of the booking system. The timing of the refund may vary depending on the processing of the user’s credit card company.
Article 7 (Tour Participation Conditions)
- Users shall participate in the Services at their own responsibility.
- Users shall confirm that their health condition and physical fitness are suitable for the content of the tour before participating in the Services.
- Users shall follow the instructions of the Company or its guides during tours.
- The Company may, at its reasonable discretion, refuse a user’s participation in a tour if it determines that such participation is unsuitable for ensuring the safety of the user or considering the impact on other participants. In such cases, whether a refund will be provided shall be determined on a case-by-case basis.
- Users shall participate in tours wearing appropriate clothing and equipment suited to the content of the tour.
Article 8 (Changes to or Cancellation of Tours)
- The Company may change the content of or cancel a tour in any of the following cases:
- In the event of force majeure such as weather conditions, natural disasters, or the spread of infectious diseases
- When the number of participants is below the minimum required number
- When there are safety-related reasons
- In any other unavoidable circumstances
- In the event that the Company cancels a tour pursuant to the preceding paragraph, the Company shall promptly notify the users.
- In the event that the Company cancels a tour at its own discretion, the Company shall provide a full refund to the users.
- Even where the content of a tour is partially changed due to weather or other reasons, no refund shall be provided in principle if the tour is carried out.
Article 9 (Prohibited Actions)
Users shall not engage in any of the following actions when using the Website or participating in the Services.
- Actions that violate laws, regulations, or public order and morals
- Actions related to criminal activity
- Actions that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company or third parties
- Transmission of false information
- Unauthorized access to the Website or attempts thereof
- Actions that place an excessive load on the Website’s servers or networks
- Actions that may interfere with the operation of the Website
- Accessing the Website or collecting data (scraping) using automated programs, scripts, bots, or similar means
- Impersonating another user or third party
- Using information on the Website for commercial purposes without the prior written consent of the Company
- Actions that defame or damage the reputation or credibility of the Company or third parties
- Providing benefits to or otherwise cooperating with antisocial forces
- Actions that cause nuisance to other participants, guides, or third parties during tours
- Failure to follow the instructions of guides during tours
- Any other actions that the Company reasonably deems inappropriate
Article 10 (Intellectual Property Rights)
- Copyrights, trademark rights, and other intellectual property rights relating to all content posted on the Website, including but not limited to text, images, photographs, videos, audio, designs, logos, trademarks, and programs, belong to the Company or the rights holders who have licensed the Company.
- Users shall not reproduce, modify, distribute, publicly transmit, transfer, lease, or otherwise use the content of the Website without the prior written consent of the Company; provided, however, that this shall not apply to use within the scope permitted under copyright law, including reproduction for private use and quotation.
Article 11 (Disclaimer of Warranties and Limitation of Liability)
- The Company makes no warranties of any kind regarding the accuracy, completeness, usefulness, currency, or other aspects of the information posted on the Website. The Website is provided on an “as-is” basis.
- The Company shall not be liable for any damages incurred by users arising from the use of the Website, except in cases where the Company has acted with intent or gross negligence.
- The Company shall not be liable for any accidents, injuries, illnesses, theft, or other damages occurring during tours, except in cases where the Company has acted with intent or gross negligence. Users shall participate in tours at their own responsibility.
- The Company shall not be liable for any damages incurred by users arising from failures, malfunctions, suspension, or other similar events of the booking system.
- Where the Website contains links to other websites, the Company assumes no responsibility for the linked websites or the information obtained therefrom.
- The Company does not guarantee the completeness of security on the Website and does not warrant that the Website is free of viruses or other harmful programs.
- In the event that a dispute arises between a user and a third party in connection with the use of the Website, the user shall resolve such dispute at their own expense and responsibility, and the Company shall assume no liability whatsoever.
- If a user violates these Terms and causes damage to the Company or a third party, such user shall be liable for compensation of such damages.
- Even in cases where the Company is liable for damages to a user, the Company’s liability shall, except in cases where the Company has acted with intent or gross negligence, be limited to direct and ordinary damages and shall not exceed the amount of fees paid by such user to the Company for the Services.
Article 12 (Modification, Suspension, and Termination of the Website)
- The Company may modify the content of the Website or suspend or terminate the provision of the Website without prior notice to users.
- The Company may temporarily suspend the provision of all or part of the Website in any of the following cases:
- When performing maintenance, inspection, or updates of servers, communication lines, or other equipment related to the Website
- When the provision of the Website becomes difficult due to earthquakes, lightning, fire, power outages, natural disasters, or other force majeure events
- When the operation of the Website becomes difficult due to computer or communication line failures, operational errors, excessive concentration of access, unauthorized access, or other causes
- When the Company otherwise determines that suspension of the Website is necessary
- The Company shall not be liable for any damages incurred by users as a result of any modification, suspension, or termination of the Website under this Article.
Article 13 (Amendment of Terms)
- The Company may amend these Terms without obtaining individual consent of users in any of the following cases:
- When the amendment serves the general interests of users
- When the amendment does not conflict with the purpose of these Terms and is reasonable in light of the necessity of the amendment, the appropriateness of the amended content, and other relevant circumstances
- When amending these Terms, the Company shall publicize the content of the amended Terms and the effective date by posting on the Website or by any other method the Company deems appropriate.
- With respect to amendments falling under Paragraph 1, Item 2 that are disadvantageous to users, the publicization under the preceding paragraph shall be made a reasonable period prior to the effective date.
- If a user uses the Website on or after the effective date of an amendment to these Terms, such user shall be deemed to have agreed to the amended Terms.
- Even if any provision or part thereof of these Terms is determined to be invalid or unenforceable under applicable laws or regulations, the remaining portion of such provision and the other provisions of these Terms shall continue in full force and effect.
Article 14 (Governing Law, Jurisdiction, and Contact Information)
- The interpretation and application of these Terms shall be governed by the laws of Japan.
- In the event of any dispute arising in connection with these Terms, the Kyoto District Court shall have exclusive jurisdiction as the court of first instance.
